End User License Agreement

1. Grant of License

1.1 License

Subject to the terms of this EULA, Manekar Pty Ltd grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Licensed Software on compatible devices you own or control
• Use the Software for your personal or internal business purposes
• Access features according to your subscription plan

1.2 Subscription Plans

The Licensed Software is offered through GitHub Marketplace under various subscription plans. Your access to features is determined by your current subscription tier. All subscriptions are subject to the terms outlined in this EULA and GitHub Marketplace's terms.

2. License Restrictions

You may NOT:

• Copy, modify, or distribute the Licensed Software except as expressly permitted
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Rent, lease, lend, sell, sublicense, or transfer the Software to any third party
• Remove, alter, or obscure any proprietary notices on the Software
• Use the Software to develop a competing product or service
• Use the Software in any manner that violates applicable laws or GitHub's Terms of Service
• Share your account credentials or allow others to access the Software through your account
• Circumvent any technical limitations or restrictions in the Software

3. Intellectual Property Rights

3.1 Ownership

The Licensed Software is licensed, not sold. Manekar Pty Ltd and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights to trademarks or service marks of the Licensor.

3.2 Third-Party Components

The Software may include third-party open source components, which are subject to their respective license terms. A list of third-party components and their licenses is available upon request.

4. Data Collection and Privacy

4.1 Data Processing

The Licensed Software processes certain data to provide its functionality. By using the Software, you acknowledge and consent to:

• Authentication with GitHub to access your repository and deployment data
• Transmission of deployment, workflow, and commit information to our servers for processing
• Storage of session data for the duration of your authenticated session
• Collection of anonymous usage analytics to improve the Software

4.2 Privacy Policy

Your use of the Software is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

5. GitHub Marketplace and Billing

5.1 Billing Through GitHub

All payments for the Licensed Software are processed through GitHub Marketplace. We do not directly collect, process, or store your payment information. Billing, subscription management, and refunds are handled entirely by GitHub according to their terms.

5.2 Refund Policy

Refund requests must be directed to GitHub Marketplace. We do not process refunds directly. Please refer to GitHub's billing documentation for information on refund eligibility and procedures.

5.3 Subscription Cancellation

You may cancel your subscription at any time through GitHub Marketplace. Upon cancellation:

• You retain access until the end of your current billing period
• No partial refunds are provided for unused time
• Your data may be retained according to our Privacy Policy

6. Updates and Modifications

6.1 Automatic Updates

The Licensed Software may be updated automatically to provide bug fixes, security patches, and new features. By installing the Software, you consent to receiving automatic updates.

6.2 Changes to Software

We reserve the right to modify, suspend, or discontinue any feature of the Software at any time. We will endeavor to provide reasonable notice for significant changes.

7. Support and Maintenance

Technical support for the Licensed Software is provided according to your subscription plan:

• Email Support: Available for all subscription tiers at support@manekar.com.au
• Documentation: Available at our help center
• Response Times: We aim to respond to support inquiries within 2 business days

8. Disclaimer of Warranties

THE LICENSED SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF DATA
• UNINTERRUPTED OR ERROR-FREE OPERATION

WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MANEKAR PTY LTD BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or goodwill
• Any damages arising from your use or inability to use the Software
• Any damages exceeding the amount you paid for the Software in the twelve (12) months preceding the claim

10. Indemnification

You agree to indemnify, defend, and hold harmless Manekar Pty Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Licensed Software
• Your violation of this EULA
• Your violation of any third-party rights
• Any content or data you transmit through the Software

11. Term and Termination

11.1 Term

This EULA is effective from the date you first install or use the Licensed Software and continues until terminated.

11.2 Termination by You

You may terminate this EULA at any time by:

• Uninstalling the Licensed Software from all devices
• Canceling your subscription through GitHub Marketplace
• Revoking GitHub access permissions

11.3 Termination by Us

We may terminate this EULA immediately if you:

• Breach any term of this EULA
• Violate GitHub's Terms of Service
• Use the Software for illegal purposes
• Fail to pay applicable subscription fees

11.4 Effect of Termination

Upon termination:

• Your license to use the Software immediately ends
• You must uninstall and destroy all copies of the Software
• Sections 3, 8, 9, 10, and 13 survive termination

12. Export Compliance

You agree to comply with all applicable export laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country, and you are not listed on any U.S. government prohibited or restricted parties list.

13. Governing Law and Dispute Resolution

13.1 Governing Law

This EULA shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising from this EULA shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with Australian arbitration rules. The arbitration shall take place in Australia.

14. General Provisions

14.1 Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Manekar Pty Ltd regarding the Licensed Software.

14.2 Severability

If any provision of this EULA is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer this EULA without our prior written consent. We may assign this EULA without restriction.

14.5 Amendments

We may amend this EULA by posting the revised terms on our website. Your continued use of the Software after such posting constitutes acceptance of the amended terms.

This End User License Agreement is effective as of the last updated date above and governs your use of the Supercharge Workflows Chrome extension.
